Caesars Entertainment shareholders have voted overwhelmingly in favour of a $17.6bn acquisition proposal put forward by Fertitta Entertainment.
The vote saw 65.4% of Caesars’ outstanding shares cast in support of the deal, representing a decisive mandate for the proposed takeover to move forward.
Fertitta Entertainment is owned by businessman Tilman Fertitta, a prominent figure across the US gaming and hospitality industries with an extensive portfolio of brands.
The group operates the well-known Golden Nugget casino brand, giving it an established footprint in the gaming sector before this latest and most significant expansion move.
Fertitta Entertainment also operates Landry’s, a sprawling hospitality business that encompasses more than 450 full-service restaurants alongside hotels and other entertainment ventures.
The group additionally owns the NBA’s Houston Rockets, making Tilman Fertitta one of the more diversified and recognisable figures in American sport and entertainment business.
The proposed Caesars acquisition would dramatically expand Fertitta’s gaming presence, with the combined group expected to operate around 60 domestic casino resorts and gaming facilities.
That scale would position the merged entity as a formidable force in the US land-based casino market, competing directly with the industry’s largest established operators.
The Caesars shareholder vote came at a notable moment for the broader casino sector, with rival operator MGM Resorts International simultaneously seeing a major takeover proposal collapse.
People Incorporated, previously known as IAC, withdrew its proposal to acquire all of the outstanding MGM shares it does not currently own, ending what had been a closely watched potential deal.
People Incorporated had proposed paying $48.30 for each MGM share it did not already own, a valuation that placed the entire MGM business at approximately $18bn.
The collapse of the MGM proposal and the progress of the Caesars deal together signal a period of significant but uneven consolidation activity across the US casino and gaming industry.
